These Terms of Service ("Terms") are a binding agreement between you and Vyrakor LLC, located at 4030 Wake Forest Road, Ste 349, Raleigh, NC 27609, United States, which operates the Teya App online appointment-booking service ("Teya", "Teya App", "we", "us", or "our"). These Terms govern your access to and use of the Teya App website, web application, and related email and messaging notifications (together, the "Service"). Teya App is an online appointment-booking and scheduling platform that lets solo professionals ("providers") publish shareable booking links and manage their availability, and lets their clients ("clients") find an open time and confirm an appointment, either as a guest or through an optional account. The Service is offered only to users located in the United States. By creating an account, publishing or using a booking link, making or accepting a booking, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference, and you represent that you are located in the United States. If you do not agree, do not use the Service.
Please read these Terms carefully. Section 15 contains a binding arbitration provision and a class-action waiver that affect how disputes between you and us are resolved. This document is written to be understandable rather than to serve as legal advice.
1. Eligibility and Acceptance
You must be at least 18 years old, located in the United States, and able to form a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete. If you use the Service on behalf of a business or other organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you and that entity. The Service is operated from the United States and is offered only to users located in the United States. We do not market the Service to users outside the United States.
2. Description of the Service
Teya provides tools that help providers accept and manage appointments and help clients book them. Providers can set availability, generate booking links, and manage upcoming appointments. Clients can open a provider's booking link, choose an available time, and confirm an appointment by supplying their name, email address, and — when the provider has turned on client SMS — a United States mobile number and SMS consent, with or without creating an account. Optional features include email notifications, SMS appointment messages to clients (United States numbers only), and, where a user chooses to connect it, messaging notifications.
Teya is a technology platform that facilitates scheduling. Teya does not provide, and is not a party to, the services that providers offer to their clients. Any appointment, consultation, treatment, session, or other service arranged through the Service is solely between the provider and the client, and Teya is not responsible for the quality, safety, legality, timeliness, pricing, or any other aspect of those services, nor for any payment, cancellation, no-show, or dispute arising between a provider and a client. Payment for a provider's own services to their clients is arranged directly between the provider and the client outside of Teya. Teya may charge providers for optional client SMS as described in Section 7.
3. Accounts and Account Security
To access certain features you must register for an account and provide accurate information such as a display or business name, a username, an email address, and a password. You may also provide optional profile details such as a phone number. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to choose a strong, unique password, to notify us promptly at the contact address below if you suspect any unauthorized use of your account, and not to share your account or let others use it. We are not liable for any loss arising from unauthorized use of your account that results from your failure to safeguard your credentials. We may suspend or terminate an account as described in Section 12.
4. Provider Responsibilities
If you use Teya as a provider, you are solely responsible for your own business, for the accuracy of the information you publish, and for the services you deliver to your clients. You agree to present yourself using an accurate business or display name; Teya does not verify the legal identity, qualifications, licensing, or credentials of providers, and it is your responsibility to make truthful representations and to hold any licenses or permits your services require. You are responsible for keeping your availability, working hours, and bookings accurate, for honoring appointments you accept, and for communicating with your clients about scheduling, changes, cancellations, and any fees.
As a provider, you are also responsible for the personal information you collect about your clients through the Service and for using it lawfully under applicable United States federal and state law. With respect to your clients' personal information, you decide how that information is used for your business, and Teya processes it on your behalf to operate the Service, as described in our Privacy Policy. You agree to comply with all laws applicable to your business and your handling of client information, including United States privacy, consumer-protection, and anti-spam laws, and to obtain any consents required before adding a client's contact details to the Service or enabling notifications that deliver client booking details to you through third-party messaging services.
5. Client and Guest Bookings
If you use Teya as a client, whether through an account or as a guest, you agree to provide accurate contact information when booking so that the provider can fulfill the appointment. When a provider has turned on client SMS, you opt in by providing a United States mobile number and confirming SMS consent on the booking form. You understand that the information you provide when booking is shared with the relevant provider for that purpose. Bookings, changes, cancellations, no-shows, and any payments or fees are handled directly between you and the provider, and Teya is not responsible for a provider's conduct, availability, or the services they render. If you have a dispute with a provider, you should raise it directly with that provider.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not use the Service to violate any law or the rights of others; to upload or transmit content that is unlawful, infringing, defamatory, harassing, hateful, or otherwise objectionable; to send unsolicited or unauthorized advertising or spam; to impersonate any person or misrepresent your affiliation; to collect or harvest information about other users without authorization; to interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, its accounts, servers, or networks; to probe, scan, or test the vulnerability of the Service or circumvent its security or authentication measures; to use automated means such as bots or scrapers to access the Service except as expressly permitted; or to reverse engineer, decompile, or otherwise attempt to derive the source code of the Service except to the extent that restriction is prohibited by law. We may investigate and take appropriate action, including removing content and suspending or terminating accounts, against anyone who violates this section.
7. Fees, Client SMS, and Automatic Charges
Core booking on Teya, including email and optional messaging notifications, is offered free of charge. Optional client SMS (United States +1 numbers only) is billed to the provider, never to the client.
Client SMS may include a free allotment when one is shown in Billing settings; it is not guaranteed, and some accounts or periods may have none. Paid client SMS is billed as prepaid and automatic charges against a saved payment method. Current prices, caps, and any allotment are shown in Billing settings. Per-message price is the SMS carrier’s destination cost plus a markup; the destination rate varies.
By turning on SMS to clients and adding a payment method or completing prepaid checkout, you authorize Vyrakor LLC to charge the saved payment method as described in this section and at the amounts then shown in Billing settings. If those amounts change, Billing settings will show the new amounts before they apply. A failed or expired-card charge may pause client SMS until a later charge succeeds; email and optional messaging continue. You can stop future SMS by turning client SMS off in Billing settings. Outstanding unbilled amounts may still be collected. Charges for sent client SMS are generally non-refundable except where required by law. Unused prepaid balance is not refunded if you turn SMS off or delete your account, except where required by law.
We may introduce other paid plans later. If we do, we will describe the applicable pricing and give notice before those fees apply. We are not obligated to provide any particular feature free of charge indefinitely.
8. Third-Party Services
The Service relies on and may link to third-party services, including cloud hosting and analytics, an email delivery provider, an SMS carrier for optional client SMS, a payment processor for optional SMS prepaid and automatic card charges, and a messaging platform for optional notifications. Your use of those third-party services may be subject to their own terms and privacy policies, and Teya is not responsible for the practices of services it does not operate. In particular, if you choose to connect an optional messaging integration, appointment notifications will be delivered to you through that messaging service; if you are a provider, those messages may include a client's name and contact details. You should review that service’s terms and enable the feature only if you accept them. You can disconnect optional integrations at any time in your settings. Reply STOP to opt out of client SMS at the number that received the message.
9. Intellectual Property and License to Use the Service
The Service, including its software, design, text, graphics, and logos, is owned by Vyrakor LLC and is protected by applicable intellectual-property laws. The "Teya" and "Teya App" names and branding used in the Service are used by Vyrakor LLC in connection with the Service; nothing in these Terms grants you any right to use those names or branding except as needed to use the Service as intended. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service, and all rights not expressly granted to you are reserved by Vyrakor LLC.
10. Your Content
You retain ownership of the information and content you submit to the Service, such as your profile details, availability, and booking information ("Your Content"). By submitting Your Content, you grant Teya a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process it solely as necessary to operate and provide the Service to you and, where applicable, to the providers or clients with whom you interact. You represent and warrant that you have all rights necessary to submit Your Content and that it does not violate these Terms or any third party's rights. You are solely responsible for Your Content and for ensuring you have any consents required to submit information about other people.
11. Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you acknowledge that you have read the Privacy Policy. To the extent you provide us with personal information about other individuals, such as your clients, you represent that you have the authority and any necessary consent to do so.
12. Suspension and Termination
You may stop using the Service at any time, and account holders may delete their account through the profile settings, which begins the account-closure and data-handling process described in our Privacy Policy. We may suspend or terminate your access to the Service, in whole or in part, at any time and without liability if we reasonably believe you have violated these Terms, if your use poses a risk to the Service or to others, if required by law, or if we discontinue the Service. Upon termination, the licenses granted to you end, and provisions of these Terms that by their nature should survive — including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.
13. Disclaimers
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Teya disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that any defects will be corrected, or that notifications, reminders, or scheduling functions will always be delivered or accurate. Teya is not responsible for the acts or omissions of providers or clients, for the services providers render, or for any missed, late, or disputed appointments. You are responsible for confirming appointments and for maintaining your own records; you should not rely on the Service as your sole means of tracking important appointments. Some states do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of Liability
To the fullest extent permitted by law, in no event will Vyrakor LLC or its members, managers, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of or inability to use the Service, whether based on contract, tort, negligence, strict liability, or any other theory, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, Vyrakor LLC's total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of the total amount you paid to us, if any, in the twelve months before the event giving rise to the liability, or one hundred United States dollars (US $100). Some states do not allow certain limitations of liability, so some of these limitations may not apply to you.
15. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws rules, and by applicable United States federal law. Except as provided in the arbitration provision below, you agree that any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of those courts.
Informal resolution. Before starting any formal proceeding, you agree to first contact us at the address in Section 17 and give us at least sixty (60) days to resolve the dispute informally. Most concerns can be resolved this way, and we appreciate the chance to do so.
Binding arbitration. If we cannot resolve a dispute informally, you and Teya agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court, except as stated below. The Federal Arbitration Act governs the interpretation and enforcement of this provision. The arbitration will be conducted in North Carolina or, at your election, by remote, video, or telephonic means. Payment of filing, administration, and arbitrator fees will be governed by the AAA rules; where those rules or applicable law require, Teya will pay or reimburse fees that exceed the cost of filing the same claim in court. The arbitrator's decision may be entered as a judgment in any court of competent jurisdiction.
Class-action waiver. You and Teya agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in court to protect its intellectual-property or confidential-information rights.
Your right to opt out. You may opt out of this arbitration and class-action-waiver provision by sending written notice to the contact address in Section 17 within thirty (30) days of first accepting these Terms. If you opt out, disputes will be resolved in the courts identified above. Opting out of arbitration does not affect any other part of these Terms.
16. Changes to the Service and to These Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we make a material change, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice. Changes take effect when posted, and your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
17. General Terms and Contact
These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Teya regarding the Service and supersede any prior agreements on that subject. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent, and any attempt to do so is void; we may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Teya. We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control. Notices to you may be provided through the Service or by email, and you agree to receive communications from us electronically.
